Terms of Service

Terms governing use of the Magnolia Core Consulting website and professional consulting services in Taiwan.

These Terms of Service (“Terms”) govern your use of the website at toolkitmagnoliacore.click (the “Site”) operated by Magnolia Core Consulting (“we,” “us,” “our”) and the consulting services we provide. By accessing the Site or engaging our services, you agree to these Terms.

1. Services

Magnolia Core Consulting provides operational process review and related business consulting services to owner-led companies. Service scope, deliverables, fees, and timelines are defined in a written proposal or engagement letter signed or accepted by both parties. Information on the Site is descriptive and does not constitute a binding offer until confirmed in writing.

2. Use of the Site

You may use the Site for lawful purposes only. You agree not to:

  • Attempt unauthorised access to our systems or data
  • Transmit malware, spam, or harmful code
  • Scrape or harvest content in a manner that burdens our infrastructure
  • Misrepresent your identity when submitting enquiries

We may suspend access to the Site for maintenance or if we detect abuse.

3. Intellectual property

All content on the Site — text, graphics, logos, layout, and design — is owned by Magnolia Core Consulting or our licensors and protected by applicable intellectual property laws. You may view and print pages for personal, non-commercial reference. You may not reproduce, distribute, or create derivative works without our prior written consent.

Reports and deliverables produced under a paid engagement are licensed to the client for internal business use as specified in the engagement letter. We retain the right to use anonymised methodologies and general know-how.

4. Enquiries and communications

Information you submit through contact forms is handled according to our Privacy Policy. Submitting an enquiry does not create a client relationship until we confirm an engagement in writing.

5. Fees and payment

Consulting fees are quoted in New Taiwan Dollars unless otherwise stated. Payment terms are specified in each invoice. Late payments may incur interest at the rate permitted under Taiwanese law. We may pause work on overdue accounts.

6. Confidentiality

During engagements, both parties may exchange confidential business information. We treat client operational data as confidential and use it only to perform the agreed services. Clients agree not to disclose our proprietary methodologies or unpublished fee structures without consent.

7. Limitation of liability

Our consulting services are advisory. Implementation of recommendations remains the client’s responsibility. To the fullest extent permitted by the laws of Taiwan:

  • We are not liable for indirect, incidental, or consequential damages arising from use of the Site or our services
  • Our total liability for any claim relating to a specific engagement is limited to the fees paid for that engagement

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

8. Disclaimer

Site content is provided for general information. It does not constitute legal, tax, accounting, or investment advice. Operational conditions vary by business; outcomes from implementing recommendations depend on client execution.

The Site may link to external websites. We are not responsible for their content or privacy practices.

10. Governing law and disputes

These Terms are governed by the laws of the Republic of China (Taiwan), without regard to conflict-of-law principles. Courts in Taipei City shall have exclusive jurisdiction over disputes arising from these Terms or use of the Site, except where mandatory consumer protection rules provide otherwise.

11. Changes

We may update these Terms by posting a revised version on the Site with a new effective date. Continued use of the Site after changes constitutes acceptance. For active engagements, material changes to service terms require mutual written agreement.
